Effective Date: August 11, 2025
These Referral Program Terms govern your participation in Collective’s (“Collective”, “us”, “we”, “our”) Member Referral Program (the “Referral Program”). By participating in the Referral Program, either by referring new customers to us, or by being referred and signing up for our Services (defined below), you agree to be bound by these Member Referral Program Terms (the “Terms”), our Privacy Policy, our Terms of Service, the terms of the applicable Referral Program administrator, Ambassador located at https://www.getambassador.com/terms and/or Impact at https://impact.com/ (collectively the “Referral Program Administrator”), and to the extent applicable, any other program terms and conditions we communicate to you in writing, which could include but are not limited to, those set forth in any Affiliate Referral Program and our Ambassador (Influencer) Program. If you do not agree to these Terms, you cannot participate in the Referral Program. Collective may modify these Terms or the Referral Program at any time, in its sole discretion, without prior notice to you. Your continued participation in the Referral Program following any such modifications constitutes your acceptance of the modified Terms.
AGREEMENT TO ARBITRATE. YOU UNDERSTAND THAT ALL DISPUTES RELATED TO THE REFERRAL PROGRAM ARE SUBJECT TO THE ARBITRATION AGREEMENT AS DETAILED IN OUR TERMS OF SERVICE. BY PARTICIPATING IN THE REFERRAL PROGRAM, YOU AGREE TO THE ARBITRATION AGREEMENT, INCLUDING BUT NOT LIMITED TO THE THE JURY TRIAL WAIVER AND CLASS ACTION WAIVER.
- Definitions.
- “Referral Program Administrator” means, individually and collectively, to the extent applicable, Ambassador located at https://www.getambassador.com/terms, and Impact located at https://impact.com/.
- “Affiliate” means an individual who is not a Collective Member but has submitted an application at refer.collective.com and has been accepted into the Affiliate Program. The Affiliate Program enables eligible Affiliates to earn a commission or other compensation for referring new members to Collective Services.
- “Converted Member” means an Eligible Prospect who (i) used a Member Participant’s Promo Code during the checkout process, or scheduled a call with Collective by clicking on Member Participant’s Share Link; (ii) subsequently completed the purchase of Collective’s Services after their call or initiation of the checkout process while the Referral Program was still in effect; (iii) submitted a payment and such payment was successfully processed; and (iv) has not canceled or terminated Collective’s Services during the Qualifying Period.
- “Eligible Prospect” is an individual who (i) is not, and has not, been a Collective Member; (ii) has not previously completed a call with a Collective representative; and (iii) meets Collective’s qualification criteria to become a Member.
- “Member” means an active member subscribed to Collective’s Services, who has made at least one monthly payment or annual payment, and is not currently delinquent on a payment of service fees or other amounts owed to Collective.
- “Participant” includes (i) a Member who has registered and been accepted into the Referral Program by Collective, and has been provided a Share Link and Promo Code, and (ii) an Eligible Prospect who (x) used a Member Participant’s Promo Code during the checkout process, or (y) scheduled a call with Collective by clicking on a Member Participant’s Share Link.
- “Promo Code” is the unique alphanumeric sequence assigned to Member Participant and used by Eligible Prospect Participants to participate in the Referral Program in accordance with these Terms.
- “Qualifying Period” is the period of thirty (30) consecutive days immediately following a Converted Member’s purchase of Collective’s Services.
- “Referral Program” is defined as the program that enables Collective Members to earn Rewards for new member referrals, subject to, and in accordance with, these Terms.
- “Referrer” is a Member Participant who has provided a Share Link and Promo Code with an Eligible Prospect for the purpose of referring them to Collective through the Referral Program to become a new Member.
- “Referee” is an Eligible Prospect who has been provided with a Referrer’s Promo Code or Share Link.
- “Reward” means any incentive, commission, discount, account credit, or other compensation or consideration earned for Converted Members, subject to, and in accordance with, these Terms.
- “Services” means the services offered by Collective as described in our Terms of Service located at https://www.collective.com/.
- “Share Link” is the unique URL assigned to Member Participants in order to direct Eligible Prospects to the Member Participant’s referral page.
- Eligibility. To be eligible to participate in the Referral Program, you must meet the following requirements for (i) all Participants, and (ii) those that apply to your participation role (i.e., Referrer, Referee).
- Eligibility for All Participants.
- You are an individual (not a business entity) who is at least 18 years of age and a U.S. citizen or permanent resident.
- You have the necessary power and authority to perform your obligations under these Terms.
- You have not been previously disqualified by Collective from participating in the Referral Program.
- You will comply with all applicable laws and regulations related to the Referral Program.
- You will maintain a valid and active Paypal, bank, or other account necessary to receive any applicable earned Rewards, as applicable.
- Referrer Eligibility. In addition to the eligibility requirements in Section 2.1 above, a Referrer must also meet the following requirements:
- Referrer must be an existing and active Member with a paid subscription plan, and your account must be in good standing (i.e., not currently delinquent on payment of service fees or other amounts owed to Collective).
- Employees, contractors, directors, and officers of Collective, and their immediate family members, are not eligible to participate as Referrers.
- By registering for our Referral Program, Referrer represents and warrants that Referrer meets the eligibility requirements above.
- If any of the eligibility requirements are not met, a Referrer is not eligible to participate in the Referral Program, and Collective is not obligated to pay any Rewards that may otherwise have been earned if Referrer was eligible.
- Referee Eligibility. In addition to the eligibility requirements in Section 2.1 above, a Referee must also meet the following requirements:
- Referee must meet the definition of Eligible Prospect defined above.
- Referee must either (i) use a Member Participant’s Promo Code during the checkout process, or (ii) schedule a call with Collective by clicking on a Member Participant’s Share Link.
- If any of the eligibility requirements are not met, a Referee is not eligible to participate in the Referral Program, and Collective is not obligated to pay any Rewards that may otherwise have been earned if Referee was eligible.
- Referral Program Overview.
- Referrers.
- Member Participants who have been approved to participate in the Referral Program will be provided with a Share Link and Promo Code through their Collective account or email.
- Member Participants can share the Share Link and Promo Code with Eligible Prospects. Sharing methods may include email, social media, or direct communication. Once a Share Link or Promo Code is shared, and as long as all other eligibility criteria are met, the Member Participant becomes a Referrer and the Eligible Prospect becomes Referee.
- Referrers can earn Rewards from Collective for each Eligible Prospect that becomes a Converted Member, subject to, and in accordance with, these Terms.
- Any referral of an Eligible Prospect is subject to acceptance by Collective, which Collective may withhold or deny at Collective’s sole discretion. Collective is not obligated to do business with any Eligible Prospect as a result of a referral.
- Referees.
- Referees must use the unique Share Link or Promo Code provided by the Referrer when signing up for Collective’s Services.
- The Share Link or Promo Code must be applied, to the extent applicable, at the time of (i) initial sign-up or (ii) request for a call, and cannot be applied retroactively.
- Registration and Rewards.
- Member Participant/Referrer. If any of the following requirements are not met, Collective may decline or recoup payment of any Rewards that is deemed not “earned” due to not meeting all applicable respective participation and eligibility requirements.
- Registration. Registration and acceptance into Collective’s Referral Program is required for any Member Participant who wishes to receive Rewards for referrals through the Referral Program. Members are automatically enrolled in the Referral Program upon account activation, but must register their referral account at the applicable Referral Program Administrator’s website, and follow the instructions within the Referral Program Welcome Email sent to the Member’s email address. Collective will review each application to determine whether the Member is eligible to become a Participant in the Referral Program. A notice of acceptance into our Referral Program will be sent to the Member’s email on file. Any Member or individual who refers an Eligible Prospect or prospective customer to Collective without first being properly registered and accepted into the Referral Program shall not be eligible to receive any Rewards.
- Referral Program Administrator. By registering for our Referral Program, you acknowledge and agree that your information will be shared with, and you are subject to the terms of, the applicable Referral Program Administrator for the purpose of administering the Referral Program.
- Payment Account. Member Participant must maintain a valid PayPal, bank, or other account where the Rewards can be paid into, and received by, the Member Participant in accordance with Referral Program Administrator’s terms and conditions. Member Participant must provide the email address associated with the account by logging into the applicable Referral Program Administrator’s website. If a Member Participant’s contact or other account information changes, Member Participant must notify Collective promptly and keep such information current.
- Eligibility for Rewards. A Referrer will receive the applicable respective Reward (as detailed and provided to the Referrer in a separate document or communication) for each Converted Member who retains Collective’s Services for the full duration of the Qualifying Period. Referrer’s payment will be processed within thirty (30) days from the last day of the Qualifying Period. Payments will be made via the payment account specified by the applicable Referral Program Administrator. Referrers are responsible for providing accurate payment information. Your Reward amount, as well as total Rewards earned as of the current date, may be found on your dashboard by logging into the applicable Referral Program Administrator’s website.
- Taxes. Referrers are solely responsible for any and all taxes that may be imposed on any Rewards received.
- Referee/Converted Member.
- A Referee who becomes a Converted Member will receive the applicable and respective Reward (as detailed and provided to the Referee in a separate document or communication) after completing the Qualifying Period.
- Converted Member’s earned Reward will be processed thirty (30) days after the date of successful completion (the last day) of the Qualifying Period.
- Taxes. Referees are solely responsible for any and all taxes that may be imposed on any Reward received.
- Right to Terminate Participation and Forfeit Rewards.
- Collective reserves the right, in its sole discretion, to suspend or terminate a Participant’s involvement in the Referral Program for any material breach of these Terms. Upon termination, all rights and licenses granted to the Participant will end immediately.
- Any Rewards owed to a terminated Participant (either Member Participant or Converted Member Participant) will be honored only if payment by a Converted Member was successfully processed within 15 days prior to termination, provided the Reward was not earned in violation of these Terms. Rewards earned through fraudulent activities or the use of unauthorized referral methods will be forfeited.
- If a referral is later deemed ineligible, due to violation of these Terms, an error by Collective, or misrepresentation by the Participant, Collective reserves the right to recoup any and all Rewards (including, but not limited to, monetary payments, credits, discounts, or physical items) previously issued to the Participant. Such recoupment may include, without limitation, seeking the return of any physical items, invalidating any issued discounts or credits, or deducting the monetary equivalent of any Rewards from any future balance owed.
- Program Changes.
- Collective reserves the right to modify, suspend, or terminate the Referral Program or these Terms at any time, for any reason, with or without notice to you. This includes, but is not limited to, changing Rewards, eligibility criteria, or the duration of the Qualifying Period.
- Any changes to the Referral Program or these Terms will be effective immediately upon posting the updated Terms on our website. Continued participation in the Referral Program after such modifications constitutes your acceptance of the revised Terms.
- In the event of Referral Program termination, any outstanding eligible Rewards earned prior to the termination date will be honored, provided all other conditions and obligations under these Terms are met.
- Additional Rules & Restrictions.
- Rewards Limitations.
- Rewards are not transferable, assignable, or redeemable for cash or cash equivalents, unless explicitly stated.
- There is no limit to the number of Referees a Referrer can refer, provided however, Collective reserves the right to review, cap, or void Rewards in cases of suspected abuse or fraud, or other action prohibited under these Terms.
- If a Referee cancels their subscription before the Qualifying Period has concluded, neither the Referrer nor the Referee will receive their respective Rewards. If a Referee initiates a chargeback or disputes a payment during or after the Qualifying Period, any associated Rewards may be revoked, and the Referrer may be required to return any received Rewards for that Referee.
- Communications.
- Use of Share Link and Promo Code. Share Links and Promo Codes must be used solely for promoting Collective’s Services on preapproved authorized platforms, such as your website, emails, blogs, and social networks.
- CAN-SPAM Compliance. You must comply with CAN-SPAM laws and avoid sending unsolicited emails or using other illegal advertising methods to promote Collective’s Services. You are prohibited from spamming, sending unsolicited commercial emails, or any other form of mass messaging to promote Collective and/or the Referral Program.
- Advertising & Endorsements. You must make only factual statements about Collective’s Services, avoiding misleading or deceptive advertising claims, and follow all relevant truth-in-advertising laws. You are prohibited from making false, misleading, or deceptive claims about Collective or the Referral Program. You must also comply with FTC guidelines and disclose any material connection to Collective, making it clear that you may receive Rewards for qualifying referrals.
- Third-Party Platform Terms. You must adhere to the terms and conditions of search engines, social media platforms, and other third-party platforms when promoting Collective’s Services and the Referral Program.
- Proprietary Rights. All products, services, marks, documentation, and information related to Collective, including all associated intellectual property rights and data collected through promotional activities, are the exclusive property of Collective. No ownership or title of such proprietary information is transferred to the Participant. The Participant agrees not to take any action that conflicts with Collective’s ownership or assist any third party in doing so. Subject to these Terms, and solely for the limited purpose of participating in the Referral Program, Collective grants the Member Participant a limited, non-exclusive, non-transferable license to promote and market Collective’s Services, and use its materials such as marketing materials, case studies, and technology documentation to assist in such activities. The use of Collective’s trademarks is allowed solely for promotion under the Referral Program and in accordance with these Terms, but all rights are reserved by Collective with no implied rights. Collective’s logos and other trademarks must not be altered. Collective may request the removal of any content that it believes is inconsistent with its brand or image. All goodwill arising out of the use of Collective’s trademarks will inure solely to the benefit of Collective.
- Other Prohibited Conduct. Engaging in the following conduct may result in immediate removal from the Referral Program and/or forfeiture of Rewards:
- Offering any form of compensation or incentive to Referees for signing up, beyond what is explicitly offered by Collective under these Terms.
- Advertising Collective on coupon code websites.
- Creating multiple accounts to refer yourself.
- Referring existing Collective Members.
- Generating or attempting to generate referrals through paid advertising methods (e.g., Pay-Per-Click (PPC) campaigns, SEM, display ads, etc.) without prior approval from Collective. Referrals must come from organic, direct, or other non-paid promotional efforts.
- Clickjacking, linkjacking, typosquatting, or any form of domain spoofing.
- Using any automated system or bot to generate referrals.
- Pixel or cookie stuffing without the visitor’s knowledge and consent.
- Posting Share Links or Promo Codes on Collective’s social media accounts without authorization.
- Impersonating Collective or creating misleading ads resembling official content.
- Making deceptive or unsubstantiated claims about Collective’s or competitors’ products or services.
- Using search terms like “Collective promo code,” “Collective discount code,” “Collective coupon code,” “Collective tax reviews,” and similar terms in titles, URLs, or meta descriptions without prior approval.
- Making disparaging remarks, promoting offensive content, or engaging in defamatory communication.
- Engaging in any activity that could be considered unethical, fraudulent, or harmful to the reputation of Collective.
All referral activities must be in accordance with these Terms, our Terms of Service, and our Privacy Policy, and shall be carried out in good faith to reflect positively on Collective. The Participants agree not to engage or participate in any activity or course of action that could damage or tarnish the image or reputation of Collective and its trademarks.
- Indemnification. Participants agree to indemnify, defend, and hold harmless Collective, its affiliates, officers, directors, employees, and agents from and against any and all third party claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to your participation in the Referral Program, your violation of any applicable law or regulation, and any claim that your referral activities infringe upon the rights of any third party.
- Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COLLECTIVE SHALL NOT BE LIABLE TO PARTICIPANT OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE REFERRAL PROGRAM, PARTICIPANT’S PARTICIPATION THEREIN, OR THE PERFORMANCE OR NON-PERFORMANCE OF THE REFERRAL PROGRAM.
THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, STATUTE, EQUITY, OR ANY OTHER LEGAL THEORY, EVEN IF COLLECTIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE LIMITATIONS SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN COLLECTIVE AND PARTICIPANT AND REFLECT ESSENTIAL REFERRAL PROGRAM TERMS.
- Other Legal Terms.
- Participants shall be deemed an independent contractor under these Terms. Neither acceptance into the Referral Program nor any other provisions contained in these Terms intends to create nor shall constitute either Collective or Participants as the employer, employee, agent, or representative of the other party, or as joint venturers or business partners, for any purpose.
- The Referral Program and performance of the Terms hereunder will be governed by the laws of the State of California without regard to its conflict of laws provisions.
- Participants agree that any dispute or claim relating in any way or arising out of these Terms will be resolved by binding arbitration, rather than in court, except that (i) Participants may assert claims in small claims court if your claims qualify; and (ii) Participants or Collective may seek equitable relief in court for infringement or other misuse of intellectual property rights or breach of confidentiality.
